Acceptance means giving consent to or agreeing upon an offer. For an acceptance to be valid, it is necessary that it is properly communicated to the proposer. The communication of acceptance takes place at different times for both the parties involved i.e. the proposer or the offerer and the proposee or the offeree.
(1) As against the proposer: The communication is said to be complete from the side of proposer when it becomes out of power for the acceptor to withdraw his/her acceptance. In other words, acceptance is said to be complete when the letter of acceptance is put in course of transit. In this case, the proposer is bound by the acceptance even if the letter is lost or delayed in post, subject to the condition that the letter was properly addressed and stamped and duly posted.
(2) As against the acceptor/proposee/offeree:The communication is complete when the acceptance comes to the knowledge of the proposer. Thus, in case if the acceptance is made by post, then the acceptor becomes bound by acceptance only when the letter of acceptance is actually received by the proposer.
This can be more easily understood with the help of an example. Suppose, Amit receives an offer letter from Pushpa on 14th April 2014, Amit accepts the offer by a letter sent through post on 15th April, 2014 that reaches Pushpa on 17th April, 2014. The communication of the acceptance in this case would be said to be complete as against Pushpa when the letter was posted i.e. on 15th April, 2014 and as against Amit when the letter is received by Pushpa i.e. on 17th April 2014.
